Terms of service

Version 2026-10-11 · Effective 11 October 2026

1. Introduction and acceptance

1.1 These Terms of Service (the "Terms") constitute a legally binding agreement between Ebee Solutions LTD (RC 9065956), a company incorporated under the laws of the Federal Republic of Nigeria ("Inventra", the "Company", "we", "us" or "our"), and the person or entity accessing or using the Service ("you" or the "User").

1.2 By signing up for or activating an account, or by accessing or using the Service, you acknowledge that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. Where you use the Service on behalf of a business, you represent and warrant that you have the authority to bind that business, and "you" shall include that business.

1.3 If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

In these Terms, unless the context otherwise requires:

  • "Service" means the Inventra software-as-a-service platform, including its web applications, application programming interfaces, documentation and any related services we provide;
  • "Store" means a business account established on the Service for the purpose of recording inventory, sales and related activity;
  • "Owner" means the User who holds the owner role in respect of a Store;
  • "Authorised User" means any person to whom the Owner grants access to a Store;
  • "Customer Data" means all data, information and content entered into or generated through the Service by or on behalf of a Store, including records relating to the Store's own customers;
  • "Subscription" means the right to use the Service for a Subscription Term under a Plan;
  • "Plan" means a subscription plan made available by the Company from time to time, as described on the Service;
  • "Subscription Term" means the period for which a Subscription has been paid, together with any trial period granted by the Company;
  • "Fees" means the fees payable for a Subscription, as published by the Company from time to time; and
  • "Applicable Law" means all laws, regulations and binding requirements of any competent authority applicable to a party or to the Service, including the Nigeria Data Protection Act 2023 (the "NDPA").

3. Grant of licence

3.1 Subject to your continued compliance with these Terms and the timely payment of all Fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the Service during the Subscription Term, solely for your internal business purposes.

3.2 All rights not expressly granted to you under these Terms are reserved by the Company.

4. Accounts and security

4.1 You shall provide accurate, current and complete information when creating an account and shall keep such information up to date. The telephone number associated with your account must be your own and is confirmed by a one-time code. An email address is optional, save that one is required to pay Fees online.

4.2 You are solely responsible for maintaining the confidentiality of your credentials and for all acts and omissions occurring under your account. You shall notify us without undue delay at support@inventra.ng upon becoming aware of any unauthorised access to or use of your account.

4.3 The Owner is responsible for determining who is granted access to the Store and the permissions assigned to each Authorised User, and shall be liable for the acts and omissions of all Authorised Users as if they were the Owner's own. By adding a person's telephone number or email address to a Store, the Owner confirms that the person has agreed to be added and to receive invitations and service messages from the Company by WhatsApp, SMS or email.

4.4 You represent that you are at least eighteen (18) years of age and possess the legal capacity to enter into these Terms.

5. Plans, trials, fees and payment

5.1 The Service is made available under the Plans described on the Service from time to time. The features, usage limits and Fees applicable to each Plan are as published by the Company and may be amended in accordance with these Terms.

5.2 The Company may, at its sole discretion, offer a trial period of the Service. The availability, duration and scope of any trial are determined by the Company and may be modified or withdrawn at any time without notice. No more than one trial is available to each person, for the first Store they open; any further Store opens once its first Subscription Term has been paid. The Company may refuse or end any trial that it determines to have been obtained through more than one account or by any other means of circumventing this clause.

5.3 Fees are payable in advance for each Subscription Term and in the currency designated by the Company for the Store. All payments shall be made through the payment channels made available on the Service or as otherwise agreed in writing with the Company. Payments processed by third-party payment service providers are subject to the terms of those providers, and the Company does not receive or store payment card details.

5.4 A change of Plan shall take effect in the manner described on the Service at the time of the change. Any amount payable in respect of an upgrade shall be calculated by the Company on the basis of its then-current Fees.

5.5 All Fees are non-refundable and non-cancellable, save as expressly required by Applicable Law. No refund, credit or set-off shall be granted in respect of any partial Subscription Term, unused feature, downgrade or period of non-use.

5.6 Where a Subscription Term or trial period expires without renewal, the Company may, without liability, restrict the Store to limited, read-only access and may thereafter suspend all access to the Store until the applicable Fees have been paid in full.

5.7 The Company reserves the right to revise its Fees and Plans at any time. Revised Fees shall apply from the commencement of the next Subscription Term or upgrade following notice to the Owner.

5.8 The Company may from time to time offer incentives for the referral of new Stores to the Service, on such terms as are published on the Service from time to time. Any such incentive has no cash value, is non-transferable and may not be exchanged for cash or any other consideration. The Company may vary, suspend or withdraw any referral programme at any time, and may, at its sole discretion, withhold, cancel or reverse any incentive which it determines to have been obtained through abuse, self-referral, fraud or the circumvention of these Terms or of the terms of such programme.

6. Customer Data

6.1 As between the parties, the Store retains all right, title and interest in and to its Customer Data. The Store grants the Company a non-exclusive, worldwide, royalty-free licence to host, process, transmit and display Customer Data solely to the extent necessary to provide, secure and improve the Service and to comply with Applicable Law.

6.2 The Store is solely responsible for the accuracy, quality and legality of its Customer Data and for ensuring that it has a lawful basis under the NDPA and any other Applicable Law for collecting and processing any personal data contained therein. In respect of personal data relating to the Store's own customers, the Store acts as data controller and the Company acts as data processor, processing such data only on the Store's documented instructions and in accordance with the Privacy Policy.

6.3 The ability to export Customer Data from the Service is a feature of certain Plans and is available only to the extent provided by the Store's Plan in force. This does not limit any right of a data subject under Applicable Law, and requests to exercise such rights shall be handled in accordance with the Privacy Policy.

6.4 The Company may disclose Customer Data where required to do so by Applicable Law, regulation, court order or the lawful request of a competent authority.

6.5 Customer Data is retained in accordance with the Privacy Policy. The expiry, suspension or termination of a Subscription does not of itself cause Customer Data to be deleted, but the Company shall be under no obligation to retain Customer Data beyond the periods described in the Privacy Policy and may, subject to Applicable Law, delete or anonymise it thereafter.

6.6 Receipts generated by the Service contain personal data of the Store's customers. Where a Store prints, downloads or shares a receipt, including through a third-party application such as WhatsApp, it does so as data controller and is solely responsible for that disclosure.

7. Acceptable use

You shall not, and shall not permit any person to:

  • (a) use the Service to buy, sell, record or otherwise deal in goods that you know or reasonably suspect to be stolen, counterfeit or otherwise unlawful;
  • (b) use the Service in breach of Applicable Law or in a manner that infringes the rights of any third party;
  • (c) attempt to gain unauthorised access to the Service, any account or any data, or probe, scan, test, overload or circumvent any security or access control measure;
  • (d) copy, modify, reverse engineer, decompile or create derivative works of the Service, except to the extent such restriction is prohibited by Applicable Law;
  • (e) sell, resell, license, sublicense, rent or otherwise make the Service available to any third party without the Company's prior written consent;
  • (f) open more than one account, or more than one Store, for the purpose of obtaining additional trials or referral incentives; or
  • (g) enter into the Service the telephone number or email address of any person without that person's consent.

8. Intellectual property

8.1 The Service, including all software, designs, text, graphics, trademarks and other materials comprised therein, and all intellectual property rights therein, are and shall remain the exclusive property of the Company and its licensors.

8.2 Where you provide feedback or suggestions regarding the Service, you grant the Company a perpetual, irrevocable, royalty-free right to use and incorporate such feedback without restriction or obligation to you.

9. Availability and modification of the Service

9.1 The Company shall use commercially reasonable efforts to make the Service available, but does not warrant that the Service will be uninterrupted, timely, secure or error-free. The Service may be unavailable from time to time for maintenance, upgrades or reasons beyond the Company's reasonable control.

9.2 The Company may modify, enhance, replace or discontinue any feature or component of the Service at any time. The Company shall use reasonable efforts to notify Owners in advance of any change that materially diminishes the core functionality of the Service.

10. Suspension and termination

10.1 The Company may suspend or terminate any account or Store, in whole or in part, with or without notice, where (a) you breach these Terms; (b) any Fees remain unpaid; (c) the Company reasonably believes that your use of the Service poses a security, legal or reputational risk to the Company or any third party; or (d) it is required to do so by Applicable Law.

10.2 The Owner may cease using the Service at any time. Cessation of use shall not entitle the Owner to any refund.

10.3 Clauses 5.5, 6, 8, 11, 12, 13 and 16, and any other provision which by its nature is intended to survive, shall survive the expiry or termination of these Terms.

11. Disclaimer of warranties

11.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS AND REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

11.2 The Service is a record-keeping tool and does not constitute accounting, tax, legal or other professional advice. You remain solely responsible for the maintenance of any records required of your business by Applicable Law.

12. Limitation of liability

12.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR ANTICIPATED SAVINGS, HOWSOEVER ARISING, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY THEREOF.

12.2 THE COMPANY'S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE STORE TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12.3 Nothing in these Terms excludes or limits any liability which cannot be excluded or limited under Applicable Law.

13. Indemnity

You shall indemnify, defend and hold harmless the Company, its affiliates and their respective directors, officers, employees and agents from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with (a) your breach of these Terms; (b) your Customer Data; or (c) your violation of Applicable Law or the rights of any third party.

14. Force majeure

The Company shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including acts of God, epidemic, war, civil unrest, governmental action, failure of public utilities or telecommunications networks, cyber-attack or failure of third-party service providers.

15. Amendments

The Company may amend these Terms from time to time by publishing a revised version on the Service. Where an amendment is material, the Company may require you to accept the revised Terms before continuing to use the Service. Your continued use of the Service following the effective date of any amendment constitutes acceptance thereof.

16. Governing law and dispute resolution

16.1 These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

16.2 The parties shall first endeavour to resolve any dispute amicably by good-faith negotiation. Where a dispute is not resolved within thirty (30) days of written notice thereof, it shall be submitted to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria.

17. General provisions

17.1 Entire agreement. These Terms, together with the Privacy Policy and any documents expressly incorporated herein, constitute the entire agreement between the parties in respect of their subject matter and supersede all prior understandings.

17.2 Severability. If any provision of these Terms is held invalid or unenforceable, such provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect.

17.3 Waiver. No failure or delay by the Company in exercising any right or remedy shall operate as a waiver thereof.

17.4 Assignment. You may not assign or transfer any of your rights or obligations under these Terms without the Company's prior written consent. The Company may assign or transfer its rights and obligations to any affiliate or successor.

17.5 Notices. Notices to the Company shall be sent to support@inventra.ng or to Ebee Solutions LTD, Rijiyar Zaki, Kano, Kano State, Nigeria. Notices to you may be given by WhatsApp or SMS to the telephone number associated with your account, by email to the address associated with your account, or by posting on the Service.
